This policy forms part of the Terms of Service. It sets out who controls an Eden One account and how control changes hands.
1.1 Each account has one user holding the owner role.
1.2 The owner may add and remove users, assign roles, change the subscription, request an export of the company's data, and request deletion of the account.
1.3 All other users — dispatchers, accountants, safety managers — hold access granted by the owner, limited to what their role permits.
2.1 The owner role is held by an individual, but the account and all data in it belong to the carrier: the legal entity operating the trucks.
2.2 Records held in the account are business records of that entity. A change in the individual holding the owner role does not affect the entity's rights to them.
2.3 Where a person holding the owner role ceases to be authorised to act for the entity, the entity may recover control under section 4.
3.1 The owner may transfer the role at any time by granting the owner role to another user and removing their own.
3.2 No approval or documentation is required, and we are not involved.
3.3 Carriers are advised to complete transfers before a departure rather than after one.
4.1 Where the owner is unreachable, has left the business, or declines to transfer the role, the entity may request a transfer by writing to hello@edenone.app.
4.2 We will require, at minimum:
(a) the USDOT and MC numbers, matching those already recorded on the account;
(b) documentation identifying the requester as an officer, member, manager or authorised representative of the entity, such as articles of organisation, an operating agreement, or a current state filing naming that person;
(c) a signed written request from the entity.
4.3 We may request further documentation where the material provided does not establish authority to our reasonable satisfaction.
4.4 We will notify the current owner at the email address on the account before making a transfer, and allow a reasonable period for objection, unless the documentation establishes that the individual no longer has any authority.
5.1 Where the owner has died or become incapacitated, we will transfer the role on receipt of a death certificate or equivalent evidence, together with documentation identifying the person now authorised to act for the entity, such as an executor's appointment, a succession document, or a filing naming a new officer.
5.2 We will not apply time pressure to a request under this section.
6.1 We do not adjudicate disputes over control of a business.
6.2 Where two or more parties claim authority over the same account, we will:
(a) maintain the account in its existing state;
(b) inform each party that a competing claim has been made;
(c) suspend changes to ownership, roles and billing until the claim is resolved;
(d) act only on a written agreement signed by all claimants, or on an order of a court of competent jurisdiction.
6.3 No data is deleted while a claim under this section is open, notwithstanding the retention schedule in the Privacy Policy.
6.4 Fees continue to accrue during a suspension under this section.
7.1 We will not grant access to a user at that user's request without the owner's authorisation.
7.2 We will not remove or replace an owner except under sections 4, 5 or 6.
7.3 We will not act on a request made by telephone or instant message where it would change who controls an account. Requests under sections 4, 5 and 6 must be made by email with supporting documents.
7.4 We will not examine the contents of an account in order to assess the merits of a competing claim.
8.1 Only the owner may request deletion of an account and its data.
8.2 We will confirm any such request with the owner directly before acting on it.
8.3 Deletion is irreversible once the retention period in the Privacy Policy has elapsed.
9.1 Carriers anticipating a change of ownership, a partner buyout, or the departure of a person holding the owner role are encouraged to notify us in advance so the transfer can be arranged in an orderly way.
